Welcome to the Organization Design Studio®. These Terms of Use (“Terms”) govern your access to and use of our website, digital learning environments, free and paid memberships, interactive labs, virtual coaching sessions, and related tools (collectively, the “Services”) operated by Organization Design Studio® Ltd.

By accessing the site, subscribing to our communications, creating an account, or purchasing any Service, you agree to be bound by these Terms.

1. Educational Nature of Services

Organization Design Studio® Ltd. is an educational platform designed to build internal capability and teach leaders how to approach organization design independently.

We do not perform organization design consulting, nor do we act as management advisors. You retain sole authority and responsibility for evaluating, applying, and executing any concepts, tools, AI outputs, or coaching insights within your organization.

2. Account Registration & Membership Types

Public & Newsletter Access: Requires email registration.
Free Memberships: Provides limited access to designated introductory labs (e.g., Lab 1).
Individual Memberships: Subscription-based full access to all 12 design labs, member guides, and integrated platform tools for one individual user.
Team Projects & Seat Licenses: Subscriptions providing a designated number of individual account seats, team project workspaces, exclusive facilitator guides, and bundled coaching allotments.

Team Projects Data Ownership & Governance:

The organization purchasing a Team Project (“Customer Organization”) owns the account administration rights and controls seat assignments. All user-created lab work, project briefs, diagnostic inputs, and workspace entries generated by seat-holders within a Team Project belong exclusively to the Customer Organization. Individual seat-holders retain no personal ownership or transfer rights over lab work created under a corporate seat. In accordance with our Privacy Policy, all customer team workspace data and coaching interaction notes are permanently deleted twelve (12) months following contract completion.

3. Subscriptions, Auto-Renewal, and Billing

Pricing & Orders: Applicable fees for subscriptions, Team Projects, phase commitments, and coaching upgrades are displayed on our checkout pages or order forms at the time of purchase. All fees are in U.S. Dollars.
Automatic Renewal: By selecting an individual recurring subscription, you explicitly consent to automatic renewal terms disclosed at checkout. Subscriptions automatically renew at the end of each billing period (e.g., annually) at the then-current rate unless canceled prior to the renewal date.
Cancellation: You may cancel your subscription auto-renewal at any time through your account online billing dashboard or by contacting customer support. Cancellation stops future recurring charges, while access remains active through the current paid billing period.
EU/UK Consumer Right of Withdrawal: If you are purchasing as a consumer in the EU or UK, you have a statutory 14-day right to cancel your purchase. However, during checkout, if you explicitly consent to immediate access to our digital lab content and acknowledge that you waive your 14-day withdrawal right once digital access begins, sales become final upon access.

4. Right to Modify or Discontinue Services

Our platform is an evolving educational studio. We reserve the right, at our sole discretion, to update, modify, expand, enhance, or temporarily suspend aspects of the Services (including adding lab content, tools, or guides over time). We will not materially reduce the core features of an active paid subscription during an ongoing paid term without reasonable notice or remedy.

5. Proprietary Methodology & Usage Restrictions

All content, frameworks, 12-Lab methodologies, slide decks, facilitator guides, tools, and software code are the exclusive intellectual property of Organization Design Studio® Ltd.

Encouraged Internal Application vs. Prohibited Commercial Redistribution:

What is Encouraged: You are fully licensed and encouraged to apply our methods, frameworks, and tools internally within your own organization (or your employer's organization) to design, diagnose, and transform internal operating systems.
What is Prohibited: You may not commercially redistribute, resell, package, white-label, or license our materials, frameworks, or lab tools to external clients. You may not use our materials to conduct paid commercial consulting, third-party training, or agency services for external entities without an explicit written Partner License from us.

6. Virtual Coaching Sessions & Live Events

Scope & Scheduling: Coaching sessions bundled with Team packages or purchased as upgrades are structured educational facilitation sessions to guide design teams through lab work. Sessions must be scheduled and completed within twelve (12) months of purchase. Unused sessions expire after 12 months and do not roll over or convert to monetary credits.
Cancellation Policy: Coaching sessions must be canceled or rescheduled at least 24 hours prior to the start time. Sessions canceled with less than 24 hours' notice are subject to forfeiture.
Unrecorded Default: Coaching sessions are unrecorded by default. If your team requests a recording for internal review, recording will only occur with advance confirmation and explicit participant consent.

7. Interactive Tools & Acceptable AI Use

When utilizing platform AI features or interactive lab tools, you agree not to:

Submit confidential third-party data, protected health information, or trade secrets without authorization.
Attempt to reverse-engineer, decompile, prompt-inject, harvest underlying prompts, or scrape platform code.
Use automated tools, bots, or scrapers to extract Lab content or platform output.

8. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES, LABS, CONTENT, AI FEATURES, AND COACHING ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ORGANIZATION DESIGN STUDIO® LTD., ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS INTERRUPTION) ARISING OUT OF YOUR ACCESS TO, OR INABILITY TO USE, OUR PLATFORM, AI TOOLS, OR COACHING SERVICES. IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE TOTAL AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. General Legal Provisions

Force Majeure: We are not liable for performance delays or failures resulting from causes beyond reasonable control, including internet outages, government actions, or third-party infrastructure disruptions.
Severability & Waiver: If any provision of these Terms is found invalid, the remaining provisions remain in full force. Our failure to enforce a right does not constitute a waiver.
Assignment: You may not assign these Terms without our prior written consent. We may assign our rights in connection with a merger or acquisition.
Entire Agreement: These Terms, alongside the Disclaimer, Privacy Policy, and Order Forms, constitute the entire agreement between you and Organization Design Studio® Ltd.
Governing Law & Venue: These Terms are governed by the laws of the State of Colorado, United States. Any legal action shall be brought exclusively in the federal or state courts located in El Paso County, Colorado.
